YOU BRING TO OUR TEAM...
- Experience: At least 10+ years of corporate legal practice, including experience as an in-house attorney, serving as a General Counsel and/or in another senior in-house legal role, and 3+ years of law firm training.
- Demonstrated Legal Expertise in the following areas:
- Transaction Lead
- Draft, review, and negotiate complex commercial real estate agreements, including:
- Leases: Retail, office, industrial, and ground leases, as well as subleases, lease assignments, and amendments.
- Purchase and Sale Agreements: Representing buyers and sellers in acquisitions and dispositions of commercial properties, including multi-property portfolios.
- Joint Ventures: Structuring and drafting joint venture agreements, co-ownership arrangements, and related documents.
- Brokerage Agreements: Drafting and negotiating exclusive and non-exclusive brokerage agreements, commission agreements, and referral agreements to ensure compliance with local laws and alignment with client objectives
- Construction Contracts: Drafting and negotiating construction and development agreements, architect agreements, and construction management contracts.
- Draft, review, and negotiate complex commercial real estate agreements, including:
- Portfolio Management and Strategy
- Act as general counsel for clients with large real estate portfolios, advising on:
- Property management agreements and operational issues.
- Ongoing compliance with lease terms, maintenance obligations, and tenant relationships.
- Strategic planning for portfolio acquisitions, dispositions, or realignment.
- Act as general counsel for clients with large real estate portfolios, advising on:
- Dispute Resolution & Preventative Guidance
- Provide proactive advice to minimize risks and resolve disputes related to commercial real estate, including:
- Landlord-tenant conflicts, lease defaults, and property damage claims.
- Construction delays, lien disputes, and contractor claims.
- Provide proactive advice to minimize risks and resolve disputes related to commercial real estate, including:
- Real Estate Finance
- Represent borrowers and lenders in negotiating and documenting financing arrangements, including:
- Mortgage loans, mezzanine loans, and preferred equity structures.
- Construction loans, lines of credit, and securitized lending transactions.
- Loan modifications, forbearance agreements, and restructurings.
- Assist clients in evaluating and securing funding from government programs, tax incentives, and other sources to support real estate projects.
- Due Diligence and Risk Mitigation
- Conduct and oversee comprehensive due diligence for real estate transactions, including:
- Reviewing title commitments, exceptions, and surveys to identify and resolve issues such as encumbrances, easements, and zoning violations.
- Managing environmental assessments and coordinating with specialists to mitigate risks related to contamination or regulatory compliance.
- Conduct and oversee comprehensive due diligence for real estate transactions, including:
- Transaction Lead
- Education: J.D. from a nationally accredited law school.
- Licensure: State bar membership in the state where you reside/practice.
